Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AgentFlow platform, website, APIs, and related services (collectively, the "Service") provided by AgentFlow Technologies Inc. ("Company," "we," "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the AgentFlow platform, you confirm that you have read, understood, and agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, you must discontinue use of the Service immediately.

2. Service Description

AgentFlow is a platform for creating, configuring, and running autonomous AI agents. The Service enables users to build agents that can reason, plan, and execute tasks using large language models and external tools. The Service is provided "as is" and "as available." While we strive for uninterrupted operation, we do not guarantee 100% availability or error-free performance.

3. Account Registration & Security

To use the Service, you must create an account with accurate and complete information. You are solely responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Promptly notifying us of any unauthorized access at security@agentflow.ai

We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.

4. Acceptable Use

You agree not to use AgentFlow to:

• Violate any applicable local, state, national, or international law
• Distribute spam, phishing attempts, or malware
• Attempt to circumvent, disable, or interfere with platform security
• Create agents that generate illegal, harmful, or abusive content
• Reverse-engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or redistribute access to the Service without prior written consent
• Use the Service to develop a competing product or service
• Exceed rate limits or consume disproportionate resources in a way that degrades the Service for other users

5. Subscription & Payment

AgentFlow offers free and paid subscription plans. Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in our refund policy. We reserve the right to change pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

6. Intellectual Property

All rights, title, and interest in the AgentFlow platform — including source code, design, documentation, trademarks, and trade secrets — are owned by AgentFlow Technologies Inc. and protected by intellectual property laws.

Content and outputs created by your agents belong to you, subject to the terms of the underlying LLM providers. You grant us a limited, non-exclusive license to process your content solely to provide the Service.

7. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the practices described in the Privacy Policy.

8. Service Level & Availability

We target 99.9% uptime for paid plans, excluding scheduled maintenance and force majeure events. Enterprise plans include a formal Service Level Agreement (SLA) with defined remedies for downtime. We will provide at least 48 hours' notice for scheduled maintenance via email and our status page.

9. Limitation of Liability

To the maximum extent permitted by law, AgentFlow Technologies Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of the Service.

Our maximum aggregate liability for any claims arising under these Terms is limited to the total amount paid by you for the Service during the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless AgentFlow Technologies Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

Either party may terminate this agreement at any time. You may cancel your account through the platform settings or by contacting support. We may suspend or terminate your access if you violate these Terms, with notice where practicable. Upon termination, you may request an export of your data within 30 days, after which it will be deleted in accordance with our Privacy Policy.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law provisions. Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in San Francisco County, California, under the rules of the American Arbitration Association. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.

13. Changes to These Terms

We may modify these Terms from time to time. Material changes will be communicated via email and a notice on our website at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms. If you disagree with the changes, you must stop using the Service and close your account.
